3. Client Responsibilities

As a client, you agree to:

• Provide accurate and current information about your business, market area, and target search terms.
• Maintain active real estate licensing in the market(s) where services are deployed.
• Respond to communications from our team in a timely manner to ensure campaign effectiveness.
• Not use our services to generate leads for purposes unrelated to your real estate business.
• Comply with all applicable laws, regulations, and industry standards in your marketing activities.

4. Payment Terms

Our Autocomplete Clicks service operates on a verified-click billing model:

• Billing: You are billed only for clicks that are verified as legitimate search autocomplete engagements. Click verification includes fraud detection, bot filtering, and geographic relevance checks.
• Monthly caps: Service agreements include monthly spending caps agreed upon at the start of each engagement. Charges will not exceed the agreed cap without prior written authorization.
• Invoicing: Invoices are issued monthly with a detailed breakdown of verified clicks, cost per click, and total charges.
• Payment terms: Payment is due within 30 days of invoice date unless otherwise agreed in writing.

5. Market Exclusivity

Search term availability and exclusivity are determined on a market-by-market basis. When you engage our services for specific search terms in a defined geographic market, we will not simultaneously serve competing agents for those same terms in that market. Exclusivity is maintained for the duration of your active service agreement and is subject to term availability at the time of engagement.

6. Intellectual Property

All content on the PPC SearchSurge website, including text, graphics, logos, images, and software, is the property of T&P Marketing Group LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent. Client data and business information you provide remain your property.

7. Limitation of Liability

To the maximum extent permitted by law:

• PPC SearchSurge and T&P Marketing Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.
• Our total liability for any claim arising from these terms or our services shall not exceed the total amount you paid to us in the three months preceding the claim.

• Market Availability Reports are diagnostic tools based on available data at the time of assessment and do not constitute guarantees of future search term availability.

8. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, you will be billed for all verified clicks incurred through the termination date. Any prepaid amounts for services not yet rendered will be refunded on a pro-rata basis. These Terms of Service survive termination and continue to govern your use of our website.

9. Indemnification

You agree to indemnify and hold harmless T&P Marketing Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the state or federal courts located in Riverside County, California.

11. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services after changes are posted constitutes acceptance of the modified terms. It is your responsibility to review these terms periodically.
